Billing and Subscription Policy

IMPORTANT: READ THIS AGREEMENT CAREFULLY BEFORE

ACCESSING OR USING THE SOFTWARE.

This End-User License Agreement (“EULA” or “Agreement”) governs the use of software and related services provided by The One Ai, LLC (“The One Ai”). By accessing, using, or interacting with The One Ai's software, you (“User” or “Licensee”) accept and agree to be bound by the terms of this Agreement.If you do not agree to the terms of this Agreement, you may not access or use the software.

Definitions

For the purposes of this Agreement, the following definitions apply:

  • "EULA" or "Agreement": This document, which governs the rights and responsibilities between The One Ai and the User.

  • "The One Ai's ": The One Ai, LLC, and its successors, affiliates, and assigns.

  • "Software": Any software product provided by The One Ai, including but not limited to web-based applications, mobile apps, server-based solutions, plugins, and related documentation.

  • "License": The limited rights granted to the User to use the Software under this Agreement.

  • "You" or "User": The individual or entity accessing or using the Software.

Ownership and Proprietary Rights

  • The Software, its underlying code, and all associated materials are the exclusive property of The One Ai

  • The Software is protected by intellectual property laws, including copyright, trademark, and patent rights.

  • You are prohibited from modifying, copying, reverse-engineering, decompiling, disassembling, or creating derivative works from the Software without prior written consent.

Grant of License

The One Ai grants You a non-exclusive, non-transferable, revocable, limited license to use the Software as outlined in Your subscription or purchase plan.

Your License is subject to compliance with this Agreement, The One Ai ’s Acceptable Use Policy, and any third-party terms integrated into the Software.

Usage Restrictions

You may not:

  • Distribute, lease, sublicense, or resell the Software to any third party.

  • Use the Software to engage in unlawful, harmful, or fraudulent activities.

  • Circumvent security measures or access controls implemented in the Software.

Fees and Payment

Use of the Software may be subject to fees as outlined in Your subscription plan.

Fees for overages, additional services, or usage beyond defined limits will be charged as outlined in the applicable billing policies. Failure to pay applicable fees may result in suspension or termination of Your License.

Data Protection and GDPR Compliance

If You collect personal data from residents of the European Union (EU), You are required to comply with the General Data Protection Regulation (GDPR).

You must review and accept The One Ai ’s Data Processing Addendum (DPA), which forms an integral part of this Agreement for GDPR compliance.

The One Ai is not liable for any GDPR violations arising from Your misuse of the Software or non-compliance with applicable laws.

Disclaimer of Warranties

The Software is provided “AS IS” without warranties of any kind, whether express or implied.

The One Ai disclaims any warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted access to the Software.

You are solely responsible for backing up Your data and ensuring its security.

Limitation of Liability

The One Ai is not liable for direct, indirect, incidental, or consequential damages arising from Your use of the Software, including but not limited to lost profits, data loss, or business interruptions.

In no event shall The One Ai’s liability exceed the fees paid by You for the Software in the 12 months preceding the event giving rise to the claim.

Acceptable Use Policy

Your use of the Software must comply with the following:

The Software may not be used to engage in activities that are illegal, abusive, or harmful.

Prohibited activities include, but are not limited to, spam, phishing, dissemination of malware, and infringement of intellectual property rights.

The One Ai reserves the right to suspend or terminate Your License for violations of this policy.

Termination

The One Ai may terminate this Agreement immediately for violations of the terms or nonpayment of fees.

Upon termination, You must cease all use of the Software and delete all copies in Your possession.

Termination does not absolve You of any outstanding payment obligations.

Indemnification

You agree to indemnify and hold harmless The One Ai, its officers, directors, employees, and agents from any claims, damages, or liabilities arising from:

  • Your use of the Software.

  • Violations of this Agreement or applicable laws.

  • Third-party claims related to Your content or activities conducted using the Software.

Updates and Modifications

The One Ai reserves the right to modify, suspend, or discontinue any aspect of the Software at any time without notice.

Updates to this Agreement will be communicated through the Software or via email. Continued use of the Software constitutes acceptance of the updated terms.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the State of Florida, USA.

All disputes shall be resolved through binding arbitration conducted in Clearwater, Florida, under the rules of the American Arbitration Association.

Entire Agreement

This Agreement constitutes the entire understanding between You and The One Ai regarding the Software and supersedes all prior agreements or communications.

By accessing or using The One Ai’s Software, You acknowledge that You have read, understood, and agreed to the terms of this EULA.
